"Sapient will utilize CBRE as its acquisition broker and will utilize Worth Ross Management Company for property management. Sapient will serve as General Partner and Asset Manager. We anticipate the hold period to be five years or less and will be seeking properties which have been under managed needing upgrades/remodeling and with significant opportunity to raise rents.

"Sapient anticipates raising the capital over a 90 day period during which time the funds will be held in an interest bearing account. Should the Fund not reach its target goal of $50,000,000 or such lower goal which is acceptable to Sapient, the funds will be returned to the investors along with the accrued interest. Assuming that the Fund will reach its targeted goal or a lower, acceptable goal, the funds will accrue a return rate from the date of deposit of 9% (the “preference return”) until such time as cash flow equals or exceeds the “preference return.”
